Terms of Service

Last updated: [DATE]

1. Acceptance of Terms

By creating an account or using GridDock ("the Service," "we," "us," "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to all users, including business owners, their staff, and anyone with delegated access such as an invited accountant.

2. Description of Service

GridDock is a bookkeeping and business-management tool that provides invoicing, expense tracking, bank transaction syncing, receipt scanning, mileage tracking, tax estimate tools, payroll tracking, and related features. The Service is not a bank, is not a money transmitter, and does not itself hold or move funds — payments are processed by Stripe, and bank connections are provided by Plaid, each governed by their own terms.

Payroll tracking specifically: the payroll feature is a record-keeping and pay-stub-generation tool. It is not tax-compliant payroll software. It does not calculate withholding from official federal or state tax tables, does not remit payroll taxes, does not file W-2s, 1099s, or other required payroll tax forms, and does not process direct deposit. Any withholding amount shown is an estimate you configure yourself. If you have employees, you are solely responsible for complying with all applicable payroll tax and labor laws, including by engaging a licensed payroll provider or accountant as needed.

Tax and financial estimates generally: the Tax Vault, tax-year report, and any other estimate shown in the Service are informational tools based on data you enter and a rate you configure. They are not tax, legal, or accounting advice, and are not a substitute for a licensed professional's guidance or an actual tax filing.

3. Accounts

You must provide accurate information when creating an account and are responsible for safeguarding your password and any activity under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

4. Subscription & Billing

The Service is offered on paid subscription plans (currently "Starter" and "Growth"), billed monthly through Stripe. Subscriptions renew automatically until canceled. You may cancel or change plans at any time through the in-app billing portal; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable. We may change pricing with advance notice; continued use after a price change takes effect constitutes acceptance of the new pricing.

5. Third-Party Services

The Service integrates with third-party providers to function, including Stripe (payment processing), Plaid (bank account connections), OpenAI (receipt image processing), and Resend (transactional email). Your use of features relying on these providers is also subject to their respective terms and privacy policies. We are not responsible for the acts, omissions, or availability of third-party services.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Process fraudulent transactions or launder money
  • Misrepresent your identity or business
  • Attempt to gain unauthorized access to other users' data or the Service's infrastructure
  • Reverse-engineer, resell, or white-label the Service without written permission

7. Your Data & Accountant Access

You retain ownership of the business data you enter. If you grant "Accountant Access" to a third party via a shared link, you are responsible for that recipient's use of the data; revoking access at any time stops future access but does not retroactively affect anything the recipient already viewed or downloaded.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY FINANCIAL, TAX, OR PAYROLL CALCULATION IT PRODUCES IS ACCURATE OR COMPLETE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ANY FIGURES BEFORE RELYING ON THEM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [COMPANY NAME] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your access for violation of these Terms or non-payment. You may stop using the Service and cancel your subscription at any time. Upon termination, we may delete your data after a reasonable retention period, except as required by law.

11. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes (such as via email or in-app notice). Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of [STATE/COUNTRY], without regard to conflict-of-law principles. [Add dispute resolution / arbitration clause here if desired, reviewed by counsel.]

13. Contact
